MMSTUDIO

Terms & Conditions

These terms apply to MMStudio's remote design and UI development services. Your written project agreement defines the specific scope, fees and schedule. Any project-specific changes to these terms must be agreed in writing.

Payment

Project payments are 50% upfront before work starts and 50% on delivery. Prices, currency and any applicable taxes are confirmed in your proposal. Recurring services follow the billing schedule agreed in writing. Fractional Product Designer engagements have a 2-month minimum.

Deliverables and revisions

Deliverables are confirmed before work begins. The Demo-Ready Sprint covers 5–8 core screens, a mini design system, UI implementation or an agreed clickable prototype, a 2-minute demo walkthrough and Figma files. It includes 1 revision round within the agreed scope. Other projects specify their revision rounds in the proposal. Extra screens, new features or additional revisions require a separate written quote and may change the timeline.

Client responsibilities

Please provide working project or repository access, brand assets, content and one decision-maker who can give timely, consolidated feedback. You are responsible for having permission to use supplied assets and for approving the work. The Sprint clock starts on the working day after required access and brand assets are received. Delays in access, assets or approvals pause the delivery schedule until the missing items are supplied.

Ownership and intellectual property

Ownership of completed deliverables transfers to you once all invoices for them are paid in full. MMStudio retains ownership of pre-existing tools, templates and reusable methods. Third-party assets, fonts and software remain subject to their own licences. Your existing product, code and data remain yours.

Day-10 guarantee

If the agreed core flows are not demo-ready by business day 10, MMStudio continues working at no extra cost under this guarantee. Core flows are the 5–8 screens listed and approved in the Day 2 fix plan. Guarantee work is limited to 10 additional business days and covers the agreed screens only. It does not apply where delays are caused by late access, assets or feedback. It is a commitment to complete the work within these limits, not a promise of fundraising, sales or other commercial results.

Cancellation and refunds

Either party may request cancellation in writing by email. Work stops once cancellation is acknowledged. If you cancel before Day 3, the upfront payment is refunded minus the Teardown fee ($300). From Day 3 onward, the upfront payment is non-refundable and covers work completed. Recurring engagements remain subject to the agreed minimum term and any notice period stated in the project agreement.

Limitation of liability

MMStudio's total liability is limited to the fees paid for the engagement in question. MMStudio is not liable for indirect or consequential losses, including lost revenue or funding.

Governing law

These terms are governed by the laws of the Federal Republic of Nigeria.
